GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

These provisions, as well as all information appearing on this site, are provided by Hype Soft Sàrl, without any guarantee of completeness, accuracy or timeliness.

Hype Soft Sàrl declines all contractual or extra-contractual liability for any direct or indirect, tangible or intangible damage resulting from access to, use of or inability to access the site or its contents.

The texts, documents, and information provided do not constitute legal, commercial, or technical advice. The user remains solely responsible for their use of the published information.

Hype Soft Sàrl expressly reserves the right to modify, supplement or delete all or part of the site content, as well as these provisions, at any time and without notice.

Swiss law applies, to the exclusion of all other legislation. In the event of a dispute, the exclusive place of jurisdiction is the registered office of Hype Soft Sàrl, subject to any mandatory jurisdictions provided by law.

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between Hype Soft Sàrl, a limited liability company under Swiss law, located at Rue des Gares 12, 1201 Geneva, Switzerland (IDE: CHE-432.029.501), represented by Mr. Delyan Tzonev, managing partner (hereinafter "Hype Soft", "the Provider" or "the Supplier"), and any professional or individual Client (hereinafter "the Client") subscribing to its products and services.

They apply to the sale, rental, supply or subscription relating to:

Hype Software's proprietary software,

Hype Soft Hardware computer hardware and peripherals,

Hype Telecom provides connectivity and telecommunications services.

As well as associated services (installation, training, maintenance, support, inventory, etc.).

Any order or signature of the Contract implies unreserved acceptance of these Terms and Conditions.
Simplicity and transparency
All prices are expressed in Swiss francs (CHF), excluding taxes (HT), unless otherwise stated.
Value Added Tax (VAT) is charged in addition, in accordance with current Swiss legislation.

Prices may be revised in the event of:

Legal modification (VAT, taxes);

Increase in external suppliers (e.g., NEXI, Internet operators).

These adjustments do not entitle you to early termination.

Hype Software Annotation
The Customer chooses, at the time of signing, the commitment period applicable to their monthly subscriptions (Software, Hype Telecom or other recurring services):

The choice of duration applies to all subscriptions purchased and is shown on the summary sheet.

In the event of early termination, discounts are cancelled retroactively and amounts due are recalculated at the standard rate.
100% of the installation costs of CHF 888.– are then payable.
Base price hype software and hype telecom
The Customer chooses, at the time of signing, the commitment period applicable to their monthly subscriptions (Software, Hype Telecom or other recurring services):

Hype Software license (1st cash register) 80.–

Additional Hype Software license 72.– (-10%)

Nexi (per terminal) 30.–

“Hype Telecom” Internet connection + landline 39.– or less depending on the subscription duration.

The choice of duration applies to all subscriptions purchased and is shown on the summary sheet.

🛈 Note: the "Hype Telecom" Internet Connection package, with or without a telephone line, does not include installation fees or equipment (router, cables, modem, etc.), which are subject to a prior quote accepted by the Customer.
Free landline
Per-minute rates beyond the 10 hours included in the package:

Calls to Swiss landlines: from CHF 0.09/min

Calls to major Swiss mobile networks: CHF 0.39/min

Tariff eligibility clause

The prices shown in this offer are reserved exclusively for customers holding an active license for HYPE SOFT software (POS solution).

In the event that the customer does not have a valid HYPE SOFT license, the prices indicated will be increased by a fixed amount of CHF 10.– (excluding VAT) per month and per service subscribed.

Fair Use Policy

Services whose use and/or volume are not limited by Hype Soft are made available to customers for reasonable and fair use.

If the observed usage deviates significantly from the usual market consumption, Hype Soft reserves the right to take any appropriate action, such as limiting, additional billing or temporary deactivation of the service concerned.

Once the included call minutes are used up, calls are billed according to the applicable per-minute rates.
Additional call packages can be added, up to a maximum of three options per customer.

Personal and non-transferable promotion.

If the contract is terminated during the first three months, the Client will lose the benefits and will have to:

Pay retroactively for the three months of license at the normal rate;

Pay the full installation costs (CHF 888.–).

The Pack One includes all the standard items listed in article 4.1.
The Customer can create a customized package from individual equipment according to their specific needs.
Equipment Ownership

Ownership of the equipment is transferred only after full payment.

Hype Soft can register a reservation of title in the official register (art. 715 CC).

The risks of loss, theft or damage are transferred upon delivery.

Warranty: conformity and absence of defects (art. 197 ff CO), repairs or replacement with identical goods.

Exclusions: normal wear and tear, misuse, humidity, overvoltage, unauthorized interventions.
Purchase value insurance
The Client must insure the equipment at its purchase value for the entire duration of the Contract.
In the absence of a certificate within 30 days, Hype Soft may apply a flat fee of CHF 9.90 / month as a coverage premium.

Your punctuality is important
In case of non-payment by the due date:

Default interest: 5%/year (art. 104 CO)

Reminder fee: CHF 30.– / message

Service suspension: after 10 days of delay, without prior notice

Automatic termination: after 30 days, the outstanding balance becomes immediately payable.

Recommissioning fee: CHF 100.–
According to your initial commitment
Initial duration: 12, 24 or 36 months depending on the Client's choice.

Renewal possible for an equivalent period, or a maximum of 12 months by default.

The promotional period is an integral part of the duration.

In the event of cancellation, any equipment not yet paid for remains due in full.

Written cancellation required (registered mail or certified electronic means).
Limitation of liability
Hype Soft is only liable for direct damages resulting from gross negligence or willful misconduct.

Excluded are: loss of profit, business interruptions, failures of third-party service providers (NEXI, hosting providers, etc.).
Maximum liability: amount paid over the last 12 months.
For legal purposes
These Terms and Conditions are governed by Swiss law.
Any dispute falls under the exclusive jurisdiction of the courts of the canton of Geneva.
